Terms and conditions

Article 1: Definitions

In these general terms and conditions, the following definitions apply:

CS Consult: the company of Carlo Sohl, trading under the name CS Consult, registered under the number X4977191Z.

  • Client: the natural or legal person who issues an assignment to CS Consult.
  • Agreement: the written Assignment Confirmation between CS Consult and the Client in which the services to be provided are described.
  • Services: the consultancy services that CS Consult provides to the Client.

Article 2: Applicability

These general terms and conditions apply to all offers, quotations, assignments and agreements between CS Consult and the Client, unless otherwise agreed in writing. By giving an assignment to CS Consult, the Client agrees to the applicability of these general terms and conditions.

Article 3: Offers and quotations

All quotations and offers from CS Consult are without obligation and can be revoked by CS Consult, unless otherwise agreed in writing. The content of quotations and offers is based on the information provided by the Client. If this information turns out to be incorrect or incomplete, CS Consult may amend the offer.

Article 4: Conclusion of the Agreement

An agreement is concluded at the moment that the Client has accepted the Assignment Confirmation from CS Consult, or when an assignment is given to CS Consult. The agreement can only be entered into in writing.

Article 5: Performance of the Services

CS Consult will perform the agreed services to the best of its knowledge and ability, in accordance with the agreements laid down in the agreement. The Client is obliged to provide all necessary cooperation and to provide information in a timely manner for the performance of the services.

Article 6: Obligations of the Client

The Client shall inform CS Consult in a timely manner of all relevant data and information necessary for the performance of the services. If the Client does not comply with the obligations under this agreement, CS Consult has the right to suspend the performance of the services or to terminate the agreement, without this entitles the Client to compensation.

Article 7: Fees and Payment

The fee for the services is agreed in writing in advance in the Assignment Confirmation and consists of a fixed rate plus 21% IVA. In certain cases, sworn translations are not included. This is always explicitly stated in the Order Confirmation. Costs for the sworn translations are always presented in advance for approval by the Client. Payment must be made within 10 days after signing the Assignment Confirmation, unless otherwise agreed. In the event of late payment, the Client is in default by operation of law and CS Consult is entitled to charge the statutory interest and collection costs.

Article 8: Liability

CS Consult is only liable for damage resulting from intent or gross negligence on its part. CS Consult's liability is at all times limited to the amount paid out by CS Consult's liability insurance in the case in question, plus the deductible. CS Consult is not liable for indirect damage, such as consequential damage, lost profit or damage due to business interruption.

Article 9: Confidentiality

CS Consult undertakes to maintain the confidentiality of all confidential information obtained during the execution of the agreement, unless there is a legal obligation to provide this information. This obligation also applies after termination of the agreement.ç

Article 10: Intellectual Property

All intellectual property rights relating to the services provided by CS Consult remain the property of CS Consult. The Client only acquires a right of use for the purpose for which the services were provided, unless otherwise agreed in writing.

Article 11: Modification and Termination of the Agreement

Either party may amend the agreement in writing, provided that both parties agree to the amendment. The Client may terminate the agreement in writing at any time, provided that this is in accordance with the terms of the agreement. CS Consult may terminate the agreement if the Client remains in default or if there are other reasons that justify termination.

Article 12: Applicable law and disputes

All agreements between CS Consult and the Client are governed by Spanish law. In the event of a dispute, the parties will first try to resolve this dispute by mutual agreement. If this fails, the dispute will be submitted to the competent court in the district where CS Consult is located.

Article 13: Final provisions

If a provision of these General Terms and Conditions turns out to be null and void or voidable, this does not affect the validity of the remaining provisions. CS Consult is entitled to change these General Terms and Conditions. Changes will take effect as soon as the amended terms and conditions have been provided to the Client.

These General Terms and Conditions have been drawn up with a view to the legal protection of both CS Consult and its customers. It is important that both parties understand and agree to these terms before entering into a business relationship.
